 Compensation Committee minutes (draft)
 Compensation Committee Meeting Sunday, March 16, 2025, Orlando, Florida
Members Present: I. King Jordan, Chair; Angelique Albert; Bea Awoniyi; Mike Miller; and Sherry Salway Black
Non-Members Present: Malcolm Macleod The meeting was called to order at 3:19 pm.
1. Board Chair succession planning/compensation
The chair asked that Agenda Item #5 be first as Malcolm Macleod joined the committee to discuss and answer questions. The Compensation Committee (CC) chair received communications from the Governance and Nominating Committee (GNC) that the CC should make a recommendation about the compensation for the Board Chair given the upcoming succession. The CC discussed with members and Malcolm Macleod. The CC is recommending back that the GNC should define the roles and responsibilities of the Chair of the Board as they will differ from the roles and responsibilities that Malcolm Macleod had over the past four years. Malcolm Macleod left the meeting following the discussion.
2. ApprovalofDecember2024MeetingMinutes
The minutes of the December 7, 2024 meeting were approved as circulated
3. BusinessArisingfromtheMinutes The CC charge is addressed below in #4.
4. CompensationCommitteeCharge
The CC reviewed the charge and supports the revisions. The CC agrees that responsibility #3
be included in the responsibilities for the CEO not for the CC.
5. CompensationoftheCEOPolicy
The CC reviewed the document describing the policy and supports it.
6. UpdatedHealthInsuranceCosts
The CC reviewed and approved the updated health insurance costs. It is noted that since the costs for Sharon Wood are now compensation and all other employees health insurance benefits are compensation there will no longer be a need to do a final approval at the March meeting.
7. Medical Benefits for Staff Dependents
At the December 7, 2024 the CC made a motion recommending that JSF cover 100% of employee medical benefits and a minimum of 70% for dependents coverage. Since the enrollment year starts January 1, the dependents coverage will start January 1, 2026

There was no other business.
