The meeting was called to order at 2:30 pm.
1. Approval of Minutes
The minutes of the September 8, 2024 meeting were approved as circulated.
2. Business arising from the minutes.
There was no business arising from the minutes.
3. Committee Charge
Robert Krause, CEO, was in attendance to discuss the Committee Charge so this was moved up on
the agenda following approval of the minutes. After discussion with the Committee members, it was
recommended that Robert Krause discuss with the Board Chair, Malcolm Macleod, and draft a revised
charge prior to the next Board meeting in order to allow the Committee time to review for the March
meeting.
4. Salary Increases for 2025
The Committee reviewed the Medical and COLA for 2025 memo dated 23 November 2024 from Robert
Krause and actions taken are included under #4, #5 and #6 below.
ACTION: The Committee approved the 2.5 % cost of living increase for staff and consultants
Included in the section on salaries was a memo from Robert Krause recommending a salary adjustment
for Lisa Loomis. After discussion, the Committee agreed that any salary adjustment for staff should be
a decision of the CEO and is not in the Compensation Committee’s purview.
5. Medical Benefits for Staff for 2025
The Committee reviewed the spreadsheet of 2025 benefits costs provided by Sharon Wood.
6. ACTION: The Committee approved the costs as presented noting that the final costs will
be presented for the March 2025 meeting once released by the government
Scope of Medical Coverage for Staff
The Committee reviewed and discussed the issue of the Foundation paying for medical benefits
for dependents of staff. Tommy Pence had furnished the Committee with comparison information
from other foundations, including a number which were similar to JSF in size and assets. Most other
foundations pay some percentage of benefits for staff dependents. After discussion, the Committee
agreed that this would be a Board decision, but there was general support for providing the coverage.
ACTION: The Committee is recommending that JSF cover 100% of employee medical benefits and
a minimum of 70% for dependents coverage.
