RE: Succession Planning – Scope of Questions to Be Reviewed by the GNC Prior to the March Meeting
This memo follows up on the Board’s decision in September 2024 to authorize the GNC to review several
issues related to Board Chair succession. Below is a list of the subject areas that were mentioned to the
Board in September; the Committee plans to examine these issues and report its recommendations
back to the Board in March 2025. At our December meeting, we are seeking the Board’s input regarding
the proposed scope of the project, as set out below.
One note regarding the items below - the GNC will limit its review and recommendations regarding
compensation to the question of whether compensation should be considered, and will work with (and
defer to) the Compensation Committee as to any specific recommendations of amounts.
