MYAKKA PINES GOLF CLUB OF ENGLEWOOD, FLORIDA
ARTICLE I ESTABLISHMENT
SECTION 1. NAME.
This Club is incorporated as a corporation not for profit under the laws of Florida as MYAKKA PINES GOLF CLUB OF ENGLEWOOD, INC., herein referred to as the Club.
SECTION 2. PURPOSES.
The purposes of the Club are to actively promote and encourage participation in the game of golf, including related social activities, and for this purpose to establish a golf club: to build, own, operate, and conduct the operations of a golf course, club house, locker room, restaurant, and cocktail lounge for the use of its members and guests and to buy, sell, mortgage, convey, lease, or otherwise acquire or dispose of real and personal property, and to borrow money as an incident to the carrying out of the above purposes.
SECTION 3. SEAL.
The corporate seal of the Club shall be circular in form and shall have inscribed thereon in the outer circle the words “Myakka Pines Golf Club of Englewood, Inc.” and in the inner circle the words “Incorporated 1976 – Corporation Not for Profit – Florida.”
ARTICLE II DEFINITIONS
As used in these By-Laws, the following terms shall have these specific definitions:
BOARD:
The Board of Directors of Myakka Pines Golf Club of Englewood, Inc.
CLUB:
Myakka Pines Golf Club of Englewood, Inc.
DIRECTOR:
A member of the Board of Directors, who may be a voting member of the Club or a non-voting
member, providing the voting member named on the Proprietary Certificate is not also a Director.
MEMBER:
An Owner or co-owner of a Proprietary Certificate named on the certificate.
VOTING MEMBER:
An owner named as the designee on a Proprietary Certificate.
HERITAGE MEMBER:
A non-certificate holder granted special status to use Club facilities in accord with rules provided in these By-Laws.
ARTICLE III BOARD OF DIRECTORS
SECTION 1. QUORUM – BOARD MEETINGS.
A simple majority of the members of the board shall constitute a quorum for the purposes of carrying on the business of the Club, except that a minimum of two-thirds (2/3) of the number of directors (any fraction resulting shall be rounded up) shall constitute a quorum when the following actions are taken:
1. An increase or decrease in the annual dues
2. A change is made in the value of a Proprietary Certificate. 3. The removal of a Director from the Board
