D. Members of the Board of Directors may participate in monthly Board meetings or by means of voice conferencing, video conferencing or similar communications equipment. All persons participating in the meeting must be able to hear each other at the same time. Participation by such means will constitute presence in person at the meeting.
ARTICLE IV OFFICERS
SECTION 1. GENERAL.
At the meeting of the Board immediately following an annual membership meeting of the Club, the Board shall elect from its own number a President, a Vice President, a Secretary, and a Treasurer, who shall hold office until the next annual meeting and until their successors are qualified.
A blanket bond shall be issued in an amount to be determined by the Board covering persons designated to handle the funds of the Club. The premium for such bond shall be paid by the Club.
SECTION 2. THE PRESIDENT.
The President is the Chairman of the Board of the Club. The President shall:
1. Preside at Board or membership meetings;
2. Execute a legal document of the Club authorized by the Board or the members;
3. Subject to the approval of the board have the authority to remove any committee member
and shall serve as an ex-officio member of all committees; and 4. Perform a duty assigned by these By-Laws or the Board.
SECTION 3. THE VICE PRESIDENT.
At the request of the President, or in case of his/her absence or disability, the Vice President shall perform all duties of the President and when so acting shall have all the power of, and be subject to all restrictions upon, the President. In addition, the Vice President shall perform such duties as may from time to time be assigned to him/her by the Board or by the President.
SECTION 4. THE SECRETARY.
The Secretary shall:
1. Keep Club records including the Club seal, Minutes of a Board or membership meeting,
membership records including an application for membership and its disposition; 2. Give or post a notice required by law or these By-Laws; and
3. Perform a duty assigned by the President or the Board.
SECTION 5. THE TREASURER.
The Treasurer shall:
1. Chair the Finance Committee;
2. Collect, receive, maintain, and as authorized by the Board disburse Club funds;
3. Report on the Club’s financial condition to the Board as requested and to the annual
membership meeting; and
4. Perform a duty assigned by the President or the Board.
SECTION 6. OTHER OFFICERS.
The President may appoint such other officers and assign duties as needed, subject to the approval of the Board.
ARTICLE V COMMITTEES
SECTION 1. GENERAL.
Certain areas of Club administration may be assigned to committees appointed by the President, subject to the approval of the Board, for the supervision of details, but such areas remain part of the basic
