responsibility of the Board. The Board, therefore, must approve in general of all committee action or, when it deems necessary, may initiate action in any area without prior referral to a committee established as provided in this Article. The President may, subject to approval of the Board, appoint committees other than those specifically covered in this Article whenever he/she deems such action beneficial to the Club. All Chairmen of Committees shall be voting members. Any member of the Club may be appointed to serve on a committee. All committees shall operate under a description of its function approved by the Board and support the General Manager who serves as an ex-officio member of all committees.
SECTION 2. MEMBERSHIP COMMITTEE.
There shall be a Membership Committee which shall have the power to adopt its own rules of procedure subject to these By-Laws and the rules and regulations of the Board. It shall be the duty of such committee to screen all applicants for membership and to report thereon to the Board with its recommendations as to each candidate. The Membership Committee, in conjunction with the Finance Committee, may propose non-Proprietary Certificate memberships to the Board for approval.
SECTION 3. NOMINATING COMMITTEE.
A. Subject to the approval of the Board and no later than ninety (90) days prior to each annual meeting of the membership, the President shall appoint a Nominating Committee, the majority of whom may not be current Board members.
B. The committee shall:
1. Solicit recommendations for candidates from the membership to run for election to the
Board.
2. Nominate no more than two (2) members for each vacancy on the Board. Cause the names
of the nominees to be posted on the Club bulletin board at least forty-five (45) days prior to
the annual meeting.
C. Any voting member not receiving nomination by the committee who wishes to stand for election
to the Board shall, at least twenty-five (25) days prior to the annual meeting, present a petition, signed by at least thirty (30) voting members, to the committee requesting that his or her name be added to the list of Director candidates. Upon verification of the signatures, the chairman of the Nominating Committee will advise the Secretary who shall immediately post the name of such additional candidate on the Club bulletin board.
D. No members other than those whose names are posted as provided in this section shall be eligible for election to the Board at the annual membership meeting.
SECTION 4. LEGAL COMMITTEE.
The Legal Committee shall advise the Board on legal matters and on dealing with outside legal counsel. It shall prepare or review changes to the By-Laws for approval of the Board and for presentation to the voting members for their approval.
SECTION 5. GROUNDS COMMITTEE.
A. The Grounds Committee shall support the General Manager and Golf Course Superintendent and make recommendations on areas of improvement of the golf course.
B. The Grounds Committee shall support the General Manager to assure the required maintenance, alterations or improvement of all buildings, equipment, and other physical property of the Club is accomplished.
SECTION 6. GOLF COMMITTEE.
The Golf Committee, in conjunction with managerial staff is charged with building and creating the golf program of the Club. The Committee’s principal functions are:
1. Develop calendar and format of golf events,
2. Establish Club policies for golf events,
3. Administer the handicap system, and
4. Adopt rules for storage and operation of private carts.
