elected Board of Directors will be sworn in at the conclusion of the
January annual meeting. The Board of Directors should meet prior to
the third Saturday in January to elect officers.
If the date of the January meeting shall be a legal holiday in the
state of Texas, such meeting shall be held on the next succeeding
business day or as soon thereafter as possible. If the election of
directors shall not be held on the date designated for any November
meeting, or if any adjournment thereof occurs, the Board of Directors
shall cause the election to be held at a meeting of the members, within
30 days.
Section 2. Special meetings of the members may be called by
the president, or a majority of the Board of Directors, or not less than
one-tenth of the members having voting rights.
Section 3. The Board of Directors may designate any place,
either within or without the state of Texas, as the place of meeting for
any regular meeting or for any special meeting called by the Board of
Directors. Such meetings require a quorum of the body if business is
to be binding.
Section 4. Written notice of either regular or special meetings
of the members must be delivered by U.S. mail or electronic mail, no
less than ten (10) days nor more than fifty (50) days prior to the
meeting date.
Section 5. Any action required by law or recommended by the
board or the members of the foundation will be taken at a meeting of
the members.
Section 6. A quorum shall consist of one-fourth of the active
membership of the foundation. Representation by proxy shall not be
permitted.
