EMPLOYMENT SEPARATION


                   RESIGNATION


                   The  Company  requests  that  employees  provide  at  least  two

                   weeks’ written notice of their intent to resign. This notice should
                   be  submitted  to  an  employee's  manager.  Dependent  upon  the
                   circumstances, an employee may be asked to not work any or all

                   of their notice period, in which case they will be allowed to use up
                   to two weeks of accrued paid time off, if available, from the time

                   notice is given. An exit interview may be requested.


                   TERMINATION


                   All  employment  with  the  Company  is  “at‐will."  This  means  that
                   either  the  Company  or  the  employee  can  terminate  the
                   employment relationship at any time, with or without notice, and

                   for  any  reason  allowed  by  law  or  for  no  reason  at  all.  An
                   employee’s at‐will status can only be changed by written contract,

                   signed by both the employee and the CEO or CFO.


                   PERSONAL POSSESSIONS AND RETURN OF COMPANY PROPERTY


                   All Company property, such as computer equipment, keys, tools,
                   parking  passes,  or  Company  credit  cards,  must  be  returned
                   immediately  at  the  time  of  termination.  Employees  may  be

                   responsible  for  any  lost  or  damaged  items.  When  leaving,
                   employees  should  ensure  that  they  take  all  of  their  personal

                   belongings with them.
