Consideration of amendments as recommended by Budget Committee.

5. Approval of At-Large Appointment – Stephen I. Dwyer
Approval/authorization for Mr. Dwyer’s at-large appointment to the Board of Governors. It
is a three-year position which begins at the close of the 2022 Annual Meeting and ends at the
close of the 2025 Annual Meeting.
