duty claims, and shareholder disputes. They have also advised medical providers on matters involving
government enforcement and investigations, including Anti-Kickback Statutes and Stark Law violations; OIG
subpoenas; self-reporting obligations; independent investigations; and compliance audits.

Tax
Our attorneys create and implement plans and structures that permit our clients to successfully complete
their business transactions, restructurings and refinancings, while achieving the most favorable tax results.
They also advise on organizational issues, tax abatement and exemption opportunities, and structures for
tax-deductible contributions, and represent clients in tax controversies.

ERISA & Employee Benefits
We work with individuals and businesses to resolve benefits issues arising under state and federal laws,
including HIPAA, ERISA, COBRA, ADEA and ADA. Our experience allows us to advise on and design employee
benefit programs for your health care business, including cash balance plans, 401k plans, and succession
planning tools so that you and your employees have the best retirement options possible.

Insurance Recovery
Eight of our attorneys are certified as Specialists in Insurance Coverage Law by the Ohio State Bar
Association, and our group pioneered the law favorable to businesses seeking recovery under an insurance
policy. They help analyze your existing coverage and seek to maximize recoveries for your claim.

Corporate & Finance
Our corporate attorneys handle large and small mergers and acquisitions, complicated shareholder matters,
and the design of corporate structures. They have extensive experience negotiating and preparing contracts.
We have advised in public and private offerings of securities, regulatory compliance and reporting and proxy
solicitations before the SEC as well as state securities regulators and have experience acting as bond counsel,
