III. Model Statute of a Joint Stock Company
with a Supervisory Board Appointing the Managing Directors
(Traditional Two-Tier Model)

The provisions of this Statute are applicable to a Joint Stock (JSC) unless that company has
registered a Statute with the National Registration Centre (NBC) with different terms. In
that case the terms` of the Statute registered with the NBC prevail.

In this Statute
- “the Law” means Law No. 9901, dt.14.04.2008 ‘On Entrepreneurs and Companies’;
- “the Statute” means this Statute of the company;
- “shareholders” are those whose names are entered in the company’s share register as the
holders of the shares;
- “clear days” in relation to the period of a notice means that period excluding the day when
the notice is given or deemed to be given and the day for which it is given or on which it is
to take effect.
