Termination. Developer and Builder, each independently, reserve the right to terminate and withdraw this Conditional Statement of Interest at any time, with or without cause, by notification of the other party. Upon termination of this Conditional Statement of Interest, Builder shall return to Developer all copies of written or electronic materials or information provided to Builder by Developer.
Expenses. Builder shall be exclusively responsible for payment of all expenses arising from Builder’s investigation of the Lots or incurred by Builder in connection with this Conditional Statement of Interest.
Negotiations are Non-Exclusive. At all times during the term of this Conditional Statement of Interest, Developer reserves the right to enter into similar Conditional Statements of Interest with other Builders, and to engage in discussions with other Builders regarding Developer’s sale of the Lots. Developer will treat all negotiations with Builders as confidential, and will not disclose the identity of any Builder that signs a Conditional Statement of Interest, or the Non-Binding Conditions thereof.
Broker Commissions. Builder will be exclusively responsible for payment of any commission, finder’s fee or similar fees or charges claimed by any real estate broker, agent or consultant in connection with Builder’s purchase of Lots from Developer.
