• Taxes: Property taxes and other customarily pro-ratable items against the Lots will be prorated between Builder and Developer as of each Closing Date.

• Builder and Developer will endeavor to execute a binding Purchase and Sale Agreement with regard to the purchase and sale of the Lots on or before April 30, 2018, with such
Purchase and Sale Agreement to incorporate the terms set forth herein.
