Section 5.  Duties.  Duties of each officer shall be:
                  a) President.  The President shall direct the conduct of SIPO business and shall preside at
                  meetings of SIPO and the Board of Directors.  The President shall appoint all committees
                  unless otherwise provided and shall be a non-voting ex-officio member of all committees
                  except the Nominating Committee. The President shall ensure that SIPO operates in
                  compliance with Northwestern Region, Federation, Soroptimist International rules and
                  procedures.
                  b) President Elect.  The President Elect shall prepare to assume the presidency by working
                  closely with the president.  The President Elect shall conduct membership and Board of
                  Director meetings in the President’s absence.  In the event of a vacancy in the office of
                  President, the President Elect shall become President.
                  c) Vice President.  The Vice President shall plan programs for membership meetings as
                          advised by the President.  The Vice President shall conduct membership
                  meetings and Board of Director meetings in the absence of both President and President Elect.
                  d) Secretary.   The Secretary shall keep a permanent record of all membership meetings and
                  Board of Director meetings.
                  e) Treasurer(s).  The Treasurer(s) shall collect all Operations and Service funds and deposit
                  them in the bank and pay all bills as authorized by the Board of Directors.  The Treasurer(s)
                  shall report account balances at the monthly Board of Directors and regular meetings and
                  prepare a financial statement to be presented to the membership quarterly, at the first
                  membership meeting following the close of each quarter, or as soon thereafter as possible.
                  The treasurer(s) shall be non-voting members of the finance committee.

                                      ARTICLE V
                                    Board of Directors

           Section 1.   Composition.  The voting members of the Board of Directors shall consist of the officers
                  listed in Article IV Section 5, Directors, and Immediate Past President.
           Section 2.  Duties
                  a) Directors shall act as liaisons between the membership and the Board of Directors.
                  b)  SIPO Immediate Past President is a member of the Board of Directors in the year
                  following presidency.
           Section 3.    Terms of office.  The officers and members of the Board of Directors shall hold office for one
                  year with the exception of the Directors who shall hold office for two years with positions
                  standing for election on alternating years.
           Section 4.    Duties of the Board of Directors.  Between club membership meetings the Board has
                  administrative authority over the affairs of the club, except that of modifying any action taken
                  by the club.
           Section 5.  Membership Meetings. Membership meetings schedule and location will be as determined by
                  the Board of Directors.
           Section 6.  Special Meetings.     Special meetings may be called by the president or shall be called
                  upon the written request of at least three members of the board. At least 24 hours’ notice
                  (personal, written, emailed, or telephoned) shall be given. The business transacted at any
                  special meeting shall be limited to that noticed in the call.
           Section 7.  Board of Directors Meeting Quorum.  A quorum exists when 50% or more of the members of
                  the Board of Directors are present.

                                     ARTICLE VI
                                  Nominations and Elections

           Section 1.   Nominating Committee.  The Nominating Committee shall be formed no later than March.
                  The committee shall nominate one or more candidates for each of the offices listed in Article
                  V. The Committee’s slate of nominations shall be announced to SIPO at the first membership
                  meeting in April.
           Section 2.   Election.   At the first membership meeting in May, nominations may be taken from the floor,
                  the committee’s slate of candidates will be announced again, and the election shall be held.
                  Election shall be by ballot for any office for which there is more than one candidate.  Election
                  shall be by a majority of those present and voting.

                                     ARTICLE VII
                                       Meetings

           Section 1.  Membership meetings.  Membership meeting schedules, including time, place, and frequency
           will be determined by the Board of Directors.  SIPO will hold a minimum of one membership meeting
           each month except during a scheduled vacation period of the club.
