                  6.  EXTERNAL AUDITORS


                         6.1  Engagement letter

                         As  in the  prior  year, the  audit  opinion  will  be  qualified with regards  to the
                         completeness and cut-off dates of the statutory levies.  The document should
                       be signed by Willie Miller and Johann Kotzé.

                         Decision:

                        The Engagement letter must be circulated to the committee.

                        6.2  Audit plan
                         Jacques Marais reported verbally that the audits should start on 16 March with
                         the two weeks extension granted.

                         Decision
                        The committee granted the two weeks extension.

                         6.3  Internal control system

                         No discussion took place.

                         6.4  Non-audit services

                         It was noted that there were no non-audit services.


                         6.5  Budgeted fee

                         It was noted that the audit fee was combined (2 statements) into one fee and
                         increased with 7%.  The fee was within the budget.


                         According to Jacques Marais, Middle and Partners appointed a person who is
                         in control of the quality control review system the company has in place. All
                         audit files were reviewed before it is signed off by him.

                        Decision
                        With reference to a previous discussion on the rotation of partners on the audits
                        done,  it was confirmed that  a second opinion will  be called in if there was
                        anything controversial on the financial statements.
