                  WITNESSES AS FOLLOWS.

                  1.  Whereas the Vendor is the absolute owner and possessor of the
                  agricultural land (Anganphou)  comprising  an area of .89 acres covered by

                  patta No. 78/644(New) under Dag No. 1215/1526 situated at Village No. 78-
                  Changangei under Imphal West District, Manipur the boundaries of the
                  agricultural land is morefully described  in the schedule hereto  annexed.
                       And whereas the Vendor has agreed to sell the said agricultural land

                  morefully described in the schedule and the purchaser  has also agreed to
                  purchase the said land at the consideration  amount of Rs.3,60,000/-  (Rupees

                  three lakhs sixty thousand)  only.
                  3. That in consideration of the sum of Rs.3,60,000/- (Rupees three lakhs
                  sixty thousand) only paid by the purchaser  to the Vendor on the 22nd day of

                  February, 1999 (the receipt of which the Vendor hereby acknowledge) and
                  the Vendor as absolute owner hereby transfers to in purchaser  by way of sale
                  ALL THAT AGRICULTURAL  LAND described in the Schedule  TO HOLD

                  the same to the purchaser  as absolute  owner.
                  4. The Vendor  hereby covenants  wih the purchaser  as follows:-
                  (i) The said agricultural land described in the schedule shall be entered into

                  and held and the products whereofare enjoyed by the purchaser  without any
                  distrurbance or interruption  by any other person whomsoever.

                  (ii) The Vendor will at the cost of the person requiring the same execute  and
                  do every such assurance  or things necessary for furthermore  perfectly
                  assuring the said agricultural  land, his heirs or assigns as may reasonably be

                  required.
                  (iii) The interest hereby transferred subsists and the Vendor has power to sell

                  the same.
                  (iv) The property hereby sold is free from encumbrances.
                  (v) The Vendor has hereby handed over all the title deeds etc. to the
                  purchaser.

                  5. The Vendor hereby agree that if for any defect in the title of the Vendor,
                  the purchaser  is deprived  ofthe whole or any part ofthe said agricultural land

                  in the schedule, the Vendor shall duly compensate the purchaser.
