If you fail to purchase in any year at least
the agreed total quantities of consumables
for each instrument, you agree that IDEXX may retroactively charge you the difference between the quantities actually purchased and the Annual Commitment. This difference will be invoiced by applying the list price in effect at the time of the invoice of the invoice of the consumable in the last column of the table above to the quantity shortfall.

All IDEXX equipment comes with a standard one-year warranty, as described in the Master Terms. You may separately purchase a ve-year extended maintenance agreement (“EMA “) from IDEXX. The IDEXX Care Plus coverage is not cancellable during the term of this Agreement. The Equipment may be new or quality recerti ed used equipment.

Any legal actions relating to this Agreement must be brought in the court of appropriate jurisdiction in title State of Maine (or the Province of Ontario for Canadian practices), which shall have exclusive jurisdiction (except that we may bring an action for an injunction or similar equitable relief against you in any proper jurisdiction), and you hereby waive any claim or lack of jurisdiction or inconvenient forum.
