                           Time  being  limited,  the  committee  decided  to  adjourn  their
                      meeting  until  November  1st,  to  be  held  at  Cincinnati,  Ohio.
                           The  joint  Committee  meeting  at  Cincinnati  unanimously
                      adopted  the  following,  which  was  to  be  in  the  form  of  a  contract
                      made  by  and  between  each  manufacturer  and  the  dealer:
                           “There  was  a  joint  meeting of the  committee  of the  National
                      Supply  &  Machinery  Dealers’  Association  and  of  the  National
                      Machine  Tool  Builders’  Association,  held  in  Cincinnati  Novem­
                      ber,  1st,  and  the  unanimous  joint  action  of  the  committee  is  em­
                      bodied  in  the  following  clauses:
                           1.        “Party  of  the  second  part  is  to  have  the  exclusive  right
                      to  sell  the  lathes  manufactured  by  the  party  of  the  first  part  in









                           f>.  "During  the  life  of  this  contract,  party  of  the  first  part
                      will  not  sell  in  the  territory  above  allotted  to  party  of  the  second
                      part,  and  agrees  to  refer  all  inquiries  from  such  exclusive  terri­
                      tory  to  the  party  of  the  second  part.  Should  party  of  the  first
                      part  ship  a  lathe  into  the  exclusive  territory  of  the  party  of  the
                      second  part,  then  the  party  of  the  first  part  shall  pay  to the  party
                      of  the  second  part  the  regular  commission  on  the  agents’  price  of
                      such  lathe  or  lathes  shipped.
                           “Party  of  the  second  part  agrees  to  confine  itself  strictly  to
                      the  territory  as  named  above,  and  not  to  accept  orders  for  lathes,
                      or  parts  of  lathes,  made  by  party  of  the  first  part,  for  shipment
                      into  territory  other  than  its  own,  excepting  with  the  written  con­
                      sent  of  the  party  of  the  first  part.
                           “Party  of  the  first  part  is  hereby  given  the  right  to  charge
                      up  to  the  account  of  party  of the  second  part,  a  sum  equal  to the
                      regular  commission  on  the  agent’s  cost  price,  on  any  lathe  or
                      lathes,  or  parts  of  lathes,  that  the  party  of  the  second  part  ships
                      into  territory  above  agreed  to,  o*r  for  any  new  lathe  (made  by
                      party of  the  first  part)  reshipped  into territory other than  its own,
                      and  is  hereby  instructed  to  pay  said  amount  to  the  agents  into
                      whose  territory the lathe or  lathes,  or parts of lathes, are installed,
