ELIGIBILITY, ENROLLMENT, TERMINATION AND
CONTINUATION


Eligibility
Benefits payable under the Plan are available to You because of Your employment or former employment
with the Employer.

In order for You to participate in the Plan, certain requirements must be satisfied. These requirements may
include probationary or waiting periods and will not exceed 90 days. The specific time periods and other
standards for participation in the Plan are determined by the Employer or federal law.

For more specific eligibility information You should refer to Your Employer's Summary Plan
Description or see Your Human Resources or benefits department.

To Be Eligible for Coverage
To be eligible for this coverage:
You (the participant) must be an active employee employed by the plan sponsor.

You must work an average of 30 hours a week.

You must be in a non-bargaining unit position (except when the bargaining unit agreement specifically
provides for coverage under the Plan).

All salaried and office Employees are eligible immediately upon hire if they satisfy the requirements above.
AES Hourly Maintenance Employees are eligible the first of the month following date of hire if they satisfy
the requirements above. Field hourly Employees are eligible the 90th day after date of hire if they satisfy
the requirements above.

If You were enrolled in a bargaining unit benefit plan as an Employee and later change to a non-bargaining
unit position, You may remain in the bargaining unit benefit plan and transfer into this plan when the
bargaining unit plan benefits are exhausted, assuming You are otherwise eligible for benefits under this
plan.

If You are enrolled in this plan and later change to a nonparticipating bargaining unit position, You are
eligible to remain in this plan until You are eligible for the plan offered by the non-participating bargaining
unit.

If You are eligible for coverage on the effective date of this plan and have been in continuous full-time
employment for the length of time required by the plan sponsor, You and Your family members may
participate immediately.

New employees and their dependents become eligible for this coverage on the date specified by Aegion.

New employees and their dependents must enroll within 30 days of eligibility.

To Remain Eligible for Coverage
To remain eligible for group coverage:
You (the participant) must continue to be an active employee employed by Aegion.

You must continue an average of at least 30 hours per week.

If You were hired in a non-bargaining unit position and become covered under this plan and during
continuous employment change to a non-participating bargaining unit position, You may be covered under
