VOTING INFORMATION












                                       It is very important, given the significant investment and expenditures by the Club, that we hear from as many
                                       members as possible.  While only the vote of equity members will be counted, we ask that all members vote on
                                       the Capital Plan.  You may see the ballot in Appendix A of these materials.


                                       To vote, you may do so in the following ways:

                                                 1. Attend the February 22, 2022 meeting in person;

                                                 2. Request, by calling Malissa Staten or Julie Wilson in the VCC Business Office, an Absentee Ballot,

                                                     which must be returned prior to the meeting; or

                                                 3. Vote electronically through the QR codes or the link in your email.                                                    Shareholder Ballot







                                        IMPORTANT


                                        We very much encourage electronic voting, however, please note that by
                                        exercising Option 3 above you are waiving all ByLaw provisions requiring

                                        printed on paper absentee ballots and you will not be able to vote in
                                        person on February 22, 2022.  You will need your membership number to
                                        cast an online ballot.
                                                                                                                                                                              Associate Ballot
                                        Online voting will open on January 21 and will close on Sunday,
                                        February 20 at 6:00 pm.

                                        Election administrators and the Board of Governors can view how each

                                        member votes.

                                        Your attendance at the February 22, 2022 meeting is still important even
                                        if you vote online.
