                WASHINGTON NATIONALS BASEBALL CLUB, LLC COMMUTER CHOICE PLAN

               ELIGIBILITY FOR PARTICIPATION

               Eligible Employee

               You are an “Eligible Employee” if you are employed by the Washington Nationals Baseball Club,
               LLC (the “Company”) or any affiliate who has adopted the Washington Nationals Baseball Club,
               LLC  Commuter  Choice  Plan  (the  “Commuter  Plan”).  However,  you  are  not  an  “Eligible
               Employee” if you are any of the following:

                   •  An independent contractor.
                   •  A self-employed individual, including a partner.
                   •  A person who owns (or is deemed to own) more than 2% of the outstanding stock of an S
                       corporation.


               Date  of  Participation:  You  will  become  a  Participant  eligible  to  receive  benefits  from  the
               Commuter Plan on the first day of the calendar month coinciding with, or next following, your
               date of hire; provided that you are an Eligible Employee on that date.

               Date Coverage Terminates:  You will stop being a Participant on the date you are no longer an
               Eligible Employee or the date you terminate employment with the Company.

               ELECTIONS

               When you become eligible to participate in the Commuter Plan, you may begin contributing to the
               Commuter Plan. The Commuter Plan does not provide for automatic elections; you must elect to
               receive  Qualified  Transportation  Expenses  (described  under  “BENEFITS”  below)  in  lieu  of
               compensation through the online enrollment process. You may modify, stop, or stop your elections
               monthly.

               All contributions will be credited to an account established on your behalf. Your contributions to
               the Commuter Plan are generally not subject to federal income tax or social security taxes. While
               you may enjoy certain tax benefits, there may be some drawbacks to participation in the Commuter
               Plan. For example, participation in the Commuter Plan may lower your social security benefits.
               You should consult with your professional tax/financial advisor to determine the consequences of
               your participation in the Commuter Plan.

               BENEFITS

               Qualified Transportation Expenses

               If  you  are  eligible  to  participate  in  the  Commuter  Plan,  you  may  set  aside  a  portion  of  your
               compensation  that  will  be  placed  in  an  account  to  pay  for  the  following  types  of  Qualified
