ARTICLE 7 - THE SEAL
a) The SEAL of the Society shall be kept securely at the Society’s Head Office and
used only with the permission of the Board.
ARTICLE 8 - BORROWING POWERS
(a) Subject to the Act, the Board may on behalf of the Society:
(i) borrow money in such a manner and amount, on such security, from such
sources and upon such terms and conditions as it thinks fit;
(ii) issue bonds, debentures and other evidences of debt obligations either outright
or as security for any liability or obligation of the Society or any other person and;
(iii) mortgage, charge , or give other security on the undertaking , or on the whole
or any part of the property and assets, of the Society (both present and future).
ARTICLE 9– BOOKS/RECORDS AND INVESTMENTS
(a) The books and records of the Society shall be open to the inspection of Members
at all reasonable times at the offices of the Society.
(b) The Board or person authorized by the Board may from time to time direct the in-
vestment funds of the Society in such a manner in which a prudent investor might
invest.
ARTICLE 10 - NOTICE
(a) Whenever under the provisions of these Bylaws notice is required to be given it
may be given personally, by email, by fax or sent through the public mail service.
For the purpose of sending notices to the mailing addresses, email addresses and
fax numbers shall be those last recorded in the books of the Society.
(b) All notices required to be given under the provision of these Bylaws shall be
deemed to have been duly given : (i) when received if delivered personally; (ii) on
the second business day after being deposited in the mail if sent though the public
mail service; (iii) upon the sender receiving confirmation transmission if sent by fax;
or (iv) on the date sent if by email.
