Branding Proposal
Agreement Terms
Ownership Rights
Ultimatum Pty. Ltd. retains the right to use the completed work for promotional purposes only, (ie: displayed on our portfolio).
Revision Policy & T&M fees
Approvals are needed at certain milestones throughout the life of the project. If the number of substantial client edits exceed 3 revisions, the total estimated hours allotted for each task will increase. This additional time needs to be captured and billed at a $95/hr T&M  at rate (Time & Materials). Typically most design projects do not require more than 3 revisions to  nalize. Note: Clients will be noti ed well in advance before incurring additional fees on open projects.
Non-Service Costs
Non-service costs include printing, stock photography, fonts, or software, etc. that may need purchasing, with prior client approval. We will work with the client to get the best products and services at the best price.
Access
Timely access to all relevant individuals having in uence on the project. Delays in the project caused by factors beyond Ultimatum Pty. Ltd. control may result in schedule and budget increas- es, with prior client knowledge.
Acceptance
Upon delivery of the  nal artwork listed above, the client will have 20 business days to review and request changes, modi cations, etc. If, within these 20 business days Ultimatum Pty. Ltd. receives no request for modi cations or changes, or the client declares acceptance, Ultimatum Pty. Ltd. will determine the  nal deliverables have been accepted.
Cancelation or Kill fees
Projects that are cancelled by the client for reasons beyond the consultant’s control are subject to fees for the loss of expected revenue. Kill fees never exceed the original agreement amount. Using pricing guidelines from the AIGA (Australian Institute of Graphic Arts) projects killed after the  rst creative is delivered will be subject to pay 75% of the total contract, and projects killed after v.2 of the creative work is complete are subject to pay 90% of the original agreement. Proj- ects killed after the work is completed are subject to pay 100% of the original agreement. Clients will be noti ed before incurring kill fees on cancelled projects. In addition, the consultant retains the right to cancel the project for lack of decisiveness on the clients part in selecting a creative direction - but this only applies after 3 versions of creative work is presented to the client for review and feedback. In the very rare case of consultant cancellation, the client has no rights to the creative work previously rejected, and the consultant retains 50% of the total project fees for the time spent to create and design initial deliverables.
Final Delivery
All  nal source  les are delivered to the client upon full payment and project completion.
