BY-LAWS
OF
ODESSA COUNTRY CLUB
ARTICLE I
Name
The name of the corporation shall be "Odessa Country Club", as provided in the
Articles of Incorporation. The Corporation is sometimes hereinafter referred to
as "the Club".
ARTICLE II
Location
The clubhouse and grounds of the corporation shall be located in Ector and
Midland County, Texas, and its principal place of business shall be at the address
of the clubhouse.
ARTICLE III
Purpose and Objective
Section 1.
The exclusive purpose and objective of the corporation shall be to promote and
encourage various social events and outdoor sports of all kinds, and, as
incidental to said purpose and objective, to establish and maintain a club,
clubhouse, grounds, recreational facilities and furnish such accommodations as
the members may require.
Section 2.
The use of intoxicating liquor in violation of any State or Federal law regulating
the use thereof and any activity prohibited by or in violation of any State or
Federal law on the premises of the Club, and conduct unbecoming a member is
prohibited and such violations or any such conduct on the part of any member or
his guest shall subject the member to suspension or expulsion from the Club.
Section 3.
The Club is not organized for business purposes nor pecuniary profit. The net
earning thereof shall inure exclusively to the benefit of the Club for the
accomplishment of the purpose and objectives aforesaid. The Club may acquire
and hold real estate, buildings and property of all kinds, sell, lease or charge for
the use of the same, and exercise all corporate powers vested in it by and the
Articles of Incorporation thereof.
