(l) Any membership conversions or exceptions that are not addressed in these
By-laws must be reviewed by the Membership Committee and approved by
the Board of Directors.
Section 3. Admission to membership
(a) Every applicant for membership in the Club shall make application in writing
on such form as may be prescribed by the Board of Directors stating,
among other things, his name, address, business and class of membership
desired. The applicant shall be endorsed by personal signature or letter of
recommendation of three (3) members of the Club. The Board of Directors
shall have final authority to either accept or reject the applicant for
membership.
All applications for membership shall be delivered to the Club, and
subsequently forwarded to the Membership Committee. It shall be the duty
of the Membership Committee to investigate promptly and determine
whether or not the applicant is a desirable person and eligible for
membership in the Club. Upon completion of the investigation by the
Membership Committee, the Membership Committee shall report its findings
and recommendations to the Board of Directors, at which time the Board
shall either extend an invitation for membership or reject the applicant.
(b) The Board of Directors is hereby invested with full authority and power to
prescribe such rules and regulations as it may see fit governing the
resignation or expulsion of members.
(c) Stock certificates shall not be negotiable or transferable except as
otherwise provided for in these By-Laws.
(d) Any member wishing to resign (forfeit) his stock certificate must notify the
Club in writing or by electronic communication and the Board of Directors at
its next regular meeting shall take action that will automatically cause
forfeiture of the membership. The member shall automatically cease to be a
member of the Club and shall forfeit all sums paid for membership.
(e) In the event that a Stockholding Member is laboring under some physical
disability so that he can no longer use and enjoy the facilities of the Club
and such member has a wife, son or daughter whom he desires to
designate as a member in his stead; that designated person shall have the
right to make application to become a member and, after approval of their
membership by the Membership Committee, the Board of Directors, in its
discretion, will have the power and authority to transfer the membership of
such disabled member to said wife, son or daughter. The applicant shall be
