at such meeting shall appoint a sufficient number to complete said
committee. Only one representative of a Stockholding Membership shall be
eligible to serve on the Nominating Committee. A minimum of two (2)
members of this committee shall not have served on this committee within
the previous five (5) years. This committee shall be charged with the duty of
nominating candidates for members of the Board of Directors to be elected
at the next annual election. The Nominating Committee Chairman shall fix
the time and place of the meeting of such Nominating Committee, but the
date fixed for such meeting shall not be less than thirty (30) days prior to the
date of the Annual Meeting.

The names of the Nominating Committee shall be published in the
December monthly newsletter or communicated by other electronic
communications to the members in time for members to be able to make
recommendations to committee members.

Section 5. Nominating Committee Meeting

The Chairman of the Nominating Committee shall immediately notify in
writing each of the members of such Nominating Committee of his or her
selection and of the time and place of the meeting of the committee. The
Nominating Committee shall meet at the time and place designated. A
majority of the committee members present at such meeting shall govern
the action and determination of the committee.

Section 6. Nominees
The Nominating Committee shall, on or before March 15 preceding the
Annual Meeting, file with the Secretary of the Club, post in the business
office of the Club and deliver by mail or electronic media the names of
candidates selected by it to fill the places of the outgoing members of the
Board of Directors. No member shall be nominated who has served more
than three (3) consecutive years next preceding. At least one of the
candidates must be elected to the Board of Directors who has never
previously served as a Director of Odessa Country Club. Other candidates
may be nominated to fill one or more of said places by an application signed
by at least five percent (5%) of the voting membership, provided such
application shall be received by the Secretary on or before March 30
preceding the annual meeting and all signatures shall be verified as voting
members by the Secretary within 5 business days of receipt. Upon receiving
such application, the Secretary shall forthwith cause the same to be
published in the business office of the clubhouse and to the stockholding
members through electronic media, the name or names nominated by
application. The names of all candidates nominated by the committee or by
application, if any, shall be printed on the official ballot used at said election,
and none of such names may be withdrawn after the said names have been
posted in the business office of the Club in the manner above stated. All
names shall be arranged alphabetically on the ballot.
