Section 13. Quorum
At any annual or special meeting, the voting members present shall
constitute a quorum, regardless of the number.
Section 14. Voting Member
The term “voting member” as herein used, means all members of the
club; who by the By-Laws are qualified to vote at any election of the
meeting of the Club.
ARTICLE VII
Board of Directors
Section 1.
The Board of Directors shall consist of ten (10) voting stockholding
members, including the Immediate Past President. A Stockholding
Personal Member, a Stockholding Personal Member’s spouse, or a
Stockholding Company Member’s representative may serve as a director.
However, only one representative of a Stockholding Company
Membership shall serve at the same time. They shall be members of the
Club in good standing and shall be elected at the Annual Meeting, elected
by majority vote of the stockholding members as set forth in Article VI,
Section 1 or ratified as set forth in Article VI, Section 6.
Section 2.
Three (3) directors shall be elected each year for a three (3) year
term. A director serving a full three (3) year term of office may not be
elected or appointed again to the Board until at least one (1) year has
elapsed since he last served. A member who becomes a director to fill an
unexpired term shall be eligible for re-election at the end of his term of
office. The Immediate Past President shall serve a total of four (4) years.
Section 3.
All vacancies on the Board of Directors occurring between annual
meetings, by death or resignation, shall be filled by appointment by the
Board of Directors.
Section 4.
Immediately following election at the Annual Meeting the Board of
Directors shall convene, elect officers, and install the newly elected
directors and officers.
Section 5.
The Board of Directors shall hold a regular meeting on the third
Wednesday of each month, or at such other time or times as it may by rule
prescribe. A special meeting of the Board may be called at any time by
order of the President or of any three (3) members of the Board. A majority
