of the Board, six (6), shall constitute a quorum for transaction of business;
but less than a quorum may adjourn the meeting to a stated time and place.
Section 6.
The Board of Directors shall control, manage and direct the business
affairs of the Club, and shall have authority to sell or convey any properties,
personal or real, borrow money, pledge collateral, give a lien upon any real
estate owned by it. No sale, disposition or mortgage, of any of the real
property owned by the Club shall be made without a two-thirds affirmative
vote of the entire membership of the Board of Directors.
Section 7.
The Board of Directors shall have full power and authority:
(a) to remove any member of any committee at any time for any
reason deemed sufficient in the opinion of the Board;
(b) to expel any member who is guilty of any act of misconduct
deemed detrimental to the best interest of the club, whether on
or off the Club premises;
(c) to suspend, reprimand or fine any member, or assess any other
appropriate punishment against any member, for any act or
omission which, in the opinion of the Board, amounts to
misconduct; cheating in any Club sponsored contests or events;
is unbecoming to a member; embarrassing or offensive to other
members; reflects adversely on the Club; or is damaging to it or
its property. Provided, however, that a two-thirds vote of the
entire Board shall be required to expel a member, and, such
member shall be afforded an opportunity to be heard in his own
defense, if he so requests.
ARTICLE VIII
Officers
Section 1.
The officers of the club shall be a President, a Vice President, a
Secretary and a Treasurer, but the latter two officers may be combined as
Secretary-Treasurer.
Section 2.
The President, or in his absence the Vice-President, shall preside at all
meetings of the club and of the Board of Directors, and shall have general
supervision of the affairs of the Club, its property and servants. If both
President and Vice-President are absent from any meeting, the members
present may elect a presiding officer.
