Personnel Committee: It shall be the duty of the Personnel Committee to
      recommend to the Board of Directors the employment of a General
      Manager/Chief Operating Officer of the Club, who is charged with leading
      the staff in the day-to-day operations and implementing the vision and
      desired products and services inspired by the standing committees and
      approved by the Board of Directors.  The committee shall assist, in
      consultation with the General Manager/Chief Operating Officer when
      necessary, in the overall policy and decision-making process in order to
      properly respond to the needs of the employees of the Club.

     Section 5.
            No committee shall be authorized to incur liabilities for and on behalf of
      the Club without first having obtained the expressed approval and
      ratification by the Board of Directors.

                         ARTICLE X
                By-Laws and Amendments Thereto

     Section 1.
      The Secretary shall make available to any member a copy of the By-Laws
      upon request.

     Section 2.
      The By-Laws may be amended, altered or revised at any regular or special
      meeting of the Board of Directors.




                        ARTICLE XI
                      Rules of Procedure

            At all meetings of the membership, the Board of Directors, and any
      committees of the Club, Roberts Rules of Order shall govern the procedure
      unless a different procedure is prescribed in the By-Laws. All procedural
      rules may, on motion of any member in good standing, be suspended in the
      consideration of any matter, by a majority vote of those present.
