Procedure for implementing the project financing concept:

Preliminary note:

The BLACK MOUNTAIN MANAGEMENT LIMITED, a member of the BLACK MOUNTAIN GLOBAL GROUP, is the "licensor" for the project financing concept and transfers

this "concept" to the operating holding, the BLUE OCEAN TRUST a licensee.

The GLOBAL COMPETENCE TEAM is the compliance department of the BLACK MOUNTAIN GLOBAL GROUP, which is responsible, among other things, for checking the
application documents and for developing the corresponding documents for the "conception".

The future syndicated lender is a member company of the consortium, the BLACK MOUNTAIN GLOBAL GROUP. As far as the contractual partner for the other desired
services is concerned, these will also be member companies of the BLACK MOUNTAIN GLOBAL GROUP.

The BLACK MOUNTAIN GLOBAL GROUP and its compliance department enables a

potential interested party to gain an initial insight into the project financing concept. For

this purpose, the group of companies has drawn up a corresponding "Term Sheet" which is
made available to interested parties for an initial decision-making process.

Based on the further decisions of a prospective customer, the following procedure can then

be carried out :
