Background
CEnet entered into a five-year MOU with the NSW member dioceses for the supply of a set of standardised IT services on 23 July 2015. Under the MOU, the member dioceses agree not to engage a third-party supplier to deliver any of the standardised IT services supplied by CEnet without the written approval of parties to the MOU (clause 4(g)).
The MOU was for an initial period of five years, however it provides for a series of up to three five-year extensions, subject to the provisions of clause 9 which covers termination. As the MOU expires on 23 July 2020, the existing board is required to consider the implications of extending or terminating the agreement in its current form.
There are a range of items requiring consideration by the board in regard to the MOU, including:
● The board is required to discuss and agree the purpose of the current MOU considering the upcoming expiry date;
● If continuing with the existing MOU is considered appropriate, whether it should be extended to all members;
● The establishment of Service Level Agreements (SLA’s). There is general consensus that SLA’s need to be introduced to underpin CEnet’s service offering; and
● The appropriate format for articulating member entitlements and Governance Roadmap
obligations and whether this may be better served via a ‘Member’s Agreement’ with SLA’s as opposed to an MOU.
