HG&L AND HG&L NEWCASTLE LTD — FORMATION
AND TEAM
Both companies were formed in Summer 2018 with the sole purpose of delivering the
Hot Shots business as described in this CIM.
HG&L’s senior founder, Director and CEO is Phil Harrison, an experienced PGA Tour
Professional, who has a wealth of knowledge and experience developing golf clubs
across the UK with 41 years ’professional golf experience and 23 years ’senior golf
management.
Ian DW Robertson, Director and senior consultant adviser, is the other founder
shareholder.
STR Group is the third shareholder with its directors and owners; John and Chris
Sanderson an acknowledged hotel, golf course and hospitality venue operator, it will
operate the Centre under a management agreement, as described below.
Howsam Limited, a private investment company, owned by Ryan Howsam completes
the shareholders. Ryan is Chairman and owner of Staysure Insurance, a five star rated
specialist provider of travel and golf insurance. Staysure is the fastest growing insurance
company in the UK and sponsors the European Seniors Tour creating effective synergy
with Hot Shots.
The proposed Chairman of the Board has an unparalleled reputation in sport having been
President of the leading sports management group in the world, in addition to being CEO
of the biggest sports brand on the planet. His appointment will be confirmed on financial
close of the funding for the Newcastle Centre.
HG&L’s Directors are Phil Harrison and Ian Robertson who will be joined by the Chairman
and a representative of the investor group. Richard Boys-Stones, a former PWC partner
has been appointed financial adviser to the Hot Shots project and is assisting with its
funding. Richard will also join the board, on financial close of the funding for the
Newcastle Centre. Oakwood Tax in Cranleigh are keeping HG&L’s books.
HG&L Newcastle Ltd (“HNL”) is wholly owned subsidiary of HG&L. It’s Directors are Phil
Harrison, Ian Robertson and Chris Sanderson (STR Group’s Managing Director) and the
to be appointed Finance Director. Its books are kept by an STR Group subsidiary (STR
Management Services Ltd) who will manage the Newcastle Centre. Alliotts of Guildford
are the companies’ auditors who are also providing tax advice.
To date HG&L has been funded initially with equity contributions and loans by the
directors, STR Group and Howsam Ltd. Neither remuneration has been paid to directors
nor interest paid on various loans to the company. The remuneration that is due and
loans that have been made will be repaid on financial close, when the initial equity
