BOARD OF DIRECTORS
Number and qualification. During the Declarant control period, the affairs of the Association shall be
governed by a Board of Directors composed of three persons appointed by the Declarant, who need not be unit
owners. Thereafter, the affairs of the Association shall be governed by a Board of Directors initially composed
of three persons, and as increased or decreased at any annual meeting by a majority vote, within the limits stated
in the Articles of Incorporation. Each such director shall be the owner or the spouse of an owner of a unit in the
project; or if a unit owner shall be a corporation, partnership, trust or estate, then a designated agent thereof.
Powers and duties. The Board of Directors shall have the power and duties necessary for the administration of
the affairs of the Association and may do all such acts and things as are not by law or by these By-Laws
directed to be exercised and done by the owners.
Other duties. In addition to other duties imposed by these By-Laws or by resolution of the Association, the
Board of Directors shall be responsible for the following: Care, maintenance, repair, replacement, and
surveillance of the project and the common elements. Determination and collection of monthly assessments
from the owners. Designation and dismissal of the personnel necessary for the maintenance and operation of
the project and the common elements.
Term of Office - The term of office of one director shall be fixed for three years, the term of office of one
director shall be fixed at two years, and the term of office of one director shall be fixed at one year. At the
expiration of the initial term of office of each director, his successor shall be elected to serve a term of three
years. The directors shall hold office until their successors have been elected and hold their first meeting, the
intent and purpose being that the term of office of a least one-third of the directors shall expire annually.
Compensation. No compensation shall be paid to directors for their services as directors. No remuneration
shall be paid to a director for services performed by him for the Association in any other capacity, unless a
resolution authorizing such remuneration shall have been adopted by the Board of Directors before or after the
services are undertaken. A director may not be an employee of the Association. See minutes July 31, 2014
Designation and Qualification. The principal officers of the Association shall be a President, a
Secretary/Treasurer, and a Clerk all of whom shall be elected by the Board of Directors. The directors may in
their discretion appoint an Assistant Treasurer, and an Assistant Secretary, and such other officers, as in their
judgment may be necessary. Each such officer, except the Clerk, shall be the owner or the spouse of an owner
of a unit in the project; or if a unit owner shall be a corporation, partnership, trust or estate, then a designated
agent thereof.
