AGREEMENT OF AGENCY
Customer represents, warrants and agrees that Dominion Energy is hereby authorized to release to Agent any information
regarding Customer and its Designated Accounts and Dominion Energy is released from any and all liability whatsoever to
Customer or any other party for complying with Agent’s request(s). Customer understands that Agent shall have the authority
to view Customer account details, elect a different rate structure or plan, elect participation in Electronic Data Interchange (EDI)
Billing, order new services or terminate existing services, extend or modify existing customer service contracts, file applications
for new accounts, make inquiries about account information, and initiate (without further input or approval from Customer)
any activities that Customer could undertake, on its own behalf with Dominion Energy. Customer further understands and
agrees that the following terms will apply:
1. Revocation and Termination. Revocation of this instrument shall be effective ten (10) business days after receipt of written
notification by Dominion Energy and without further verification by Dominion Energy or notification to any third parties.
It is the Customer’s responsibility to notify Agent of revocation of authority, and Dominion Energy bears no liability to
Customer or Customer’s Agent for said revocation. If this instrument is revoked for any reason, Customer, its affiliates,
agents, successors and assigns, will be solely liable for any loss suffered or liability incurred by Dominion Energy while acting
in accordance with the instructions of Agent acting under this instrument prior to the effective date of any such revocation.
Dominion Energy may, at its convenience, terminate this Agreement, in whole or in part, at any time by written notice to
Customer.
2. Amendment. Amendments and addendums to this instrument must be in writing and signed by both parties to this
Agreement to be effective. It is the Customer’s duty to notify its Agent of any amendments and addendums. Dominion
Energy will not notify any third-party of such amendment or addendum and bears no liability to Customer or Customer’s
Agent for said amendments or addendums.
3. Agent Has Power To Act Alone. The powers conferred on Agent by this Agreement may be exercised by Agent alone and
Agent’s signature or act under the authority granted in this Agreement may be accepted by Dominion Energy as fully
authorized by Customer and with the same force and effect as if Customer personally were present and acting on its own
behalf.
4. No Liability For Reliance On Agent. Customer agrees to indemnify Dominion Energy for any loss or damage that Dominion
Energy may incur, including costs and reasonable attorney fees, as a result of this Agreement and Dominion Energy’s
acceptance and performance hereunder. Acknowledging that Dominion Energy’s acceptance of this Agreement is being
undertaken solely as an accommodation to Customer, Customer agrees that if Dominion Energy acts in good faith,
Customer shall waive and release any past, present or future claim against Dominion Energy relating to Dominion Energy’s
acceptance of this Representative designation and performance hereunder.
5. Limitation of Liability. Customer, for itself, its officers, affiliates, parent companies, subsidiaries, successors, agents, and
assigns, hereby releases, holds harmless, and agrees to indemnify Dominion Energy, its officers, affiliates, predecessors,
successors, agents, and assigns, (collectively referred to as “Released Parties”), from any and all liability, claims, demands,
