JOINT VENTURE AGREEMENT FOR THE EXECUTION OF BATCHES OF 10 000 AND R&E UNITS OF THE
JOHN DUBE VILLAGE EXTENTION 1 HOUSING DEVELOPMENT

THE PARTIES

1. 1.1 Gonlizar CC Registration number: 2001/032377/23 (Herein represented by Lesibana Moremi
in his capacity as Director, duly authorised hereto)
(“Gonlizar”)

1.2 Phatsimo Engineering PTY LTD Registration number: 2016/127420/07 (Herein represented by
Thandani Elias Witbooi in his capacity as Director, duly authorised thereto)
(“Phatsimo Engineering”)

THE PARTIES AGREE AS SET OUT BELOW

2. INTERPRETATION AND DEFINITIONS

2.1 The clause headings in this agreement are for the purpose of convenience apply and shall not be
taken into account in the interpretation of nor modify the terms of this agreement. Unless
inconsistent with or a contrary intention clearly appears from the context

2.1.1 Words denoting any particular gender include reference to each of the other genders;
2.1.2 Words denoting the singular include reference to the plural and vice versa; and

2.1.3 Words denoting natural persons include reference to legal persons and vice versa.

2.2 This agreement shall be governed by and construed and interpreted in accordance with the laws
of the Republic of South Africa, provided that in the event of a conflict between or inconsistency in
the laws applicable in the various provinces of the Republic of South Africa, the law as applied and
interpreted in the province of Gauteng will prevail.

2.3 If any provision in a definition is a substantive provision conferring rights or imposing obligations
on any party, notwithstanding that it is only in the definition clause, effect shall be given to it as if it
were a substantive provision in the body of the agreement.

2.4 Where any words and / or expressions are defined within the context of any particular clause in
this agreement, the words and / or expressions so defined, shall bear the meaning assigned to such
words and / or expressions in that clause, notwithstanding that such words and / or expressions
have not been defined in this interpretation and definitions clause.

2.5 The following terms and expressions shall have the meanings assigned to them hereunder and
cognate expressions shall have a corresponding meaning –
