17.2 Each party shall be responsible for its own costs in the final negotiation, signing and
implementation of the agreement. The attorneys shall submit an account for the full amount due to

18. MISCELLANEOUS LEGAL PROVISIONS
18.1 This agreement and undertaking constitutes the sole record of the agreement between the
parties in regard to the subject matter hereof.

18.2 No party shall be bound by any representation, warranty, undertaking, promise or the like not
recorded in this agreement.

18.3 No addition to, variation or consensual cancellation of this agreement shall be of any force or
effect unless expressed in writing and signed by the MM FM parties and any such waiver will be
effective only in the specific instance and for the purpose given.

18.4 No failure or delay in exercising any right, power or privilege will operate as a waiver, nor will
any single or partial exercise of any right, power or privilege preclude any other or further exercise
thereof or the exercise of any other right, power or privilege.

18.5 Any indulgence which a party may show to the other in terms of or pursuant to the provisions
contained in this agreement shall not constitute a waiver of any of the rights of the party so
affected.

18.6 If any provision of this agreement is held to be unenforceable by any court of law, such
provision shall be severable from this agreement, and shall not affect the remaining provisions of
this agreement which shall remain in force and effect. Dated and signed in the presence of the
