Nominating Committee meeting minutes (draft)
December 4, 2021 at 3:30 p.m.
Members Present: David Blaikie, Bill Corwin, Malcolm Macleod, Mike Miller, Bobby Krause (non-voting)
Others Present: Sharon Wood Bill chaired the meeting.
1. Approval of Minutes of September 13, 2021 meeting.
Minutes were approved as presented.
2. Matters arising from the Minutes
Bill reported that he had gotten David Sarju’s resume and will circulate it among the Committee members.
3. Update on potential Directors
Leslie Pendleton was raised for consideration. She works for University of Florida in the Machen Opportunity Scholars program. She holds a PhD in Higher Education Administration. She was one of the members of the panel for the 2019 Disadvantaged Convening. She is probably in her 40s.
Becky Youngman, another potential candidate, was with the School District of Palm Beach County where one of her responsibilities was overseeing the Johnson Scholars Program. She is currently working for the International Baccalaureate program in the Netherlands. She plans to retire from that position this coming June and return to Florida. She holds a Doctor of Education focused on Educational Leadership. She is probably in her 60s.
In discussing Leslie and Becky, it was agreed that Leslie is the stronger candidate.
Question was raised on whether or not there is a written statement prohibiting a person associated with a grantee organization from serving on the Foundation’s Board. There is not, however, the General Criteria to be considered by the Board in March 2022 does include that statement. It was noted that Dick was a Trustee for Palm Beach Atlantic University the entire time he was on the Johnson Scholarship Foundation Board. King was a member of the Marriott Foundation Board during his term as a Johnson Scholarship Foundation Director. The issue of conflict of interest remains an important one, but a Director could be recused from discussions on a specific grantee. That said, Bill expressed that he would not like to see too many Directors with conflicts.
Mike asked if we know of any Executive Directors retiring. Bobby noted that he had hoped to be able to travel more these past 18 months and get more first-hand knowledge of people the Foundation works with. That is a goal of his for 2022.
Braulio Colon of the Helios Foundation was raised for consideration. Bobby said that he had already been in conversations with Braulio about the two of them getting together for dinner. That could be an opportunity for Bobby to get to know him better. He is highly regarded in the philanthropic community in Florida and serves as the leader of the Education Affinity Group of the Florida Philanthropic Network.
Kevin Walker is another consideration, although he is quite busy with his work as the head of the Northwest Area Foundation.
The names of Leslie Pendleton, Braulio Colon and Kevin Walker will be added to the potential candidates list.
