MEMORANDUM OF UNDERSTANDING

                                                        BETWEEN


                             LOUISIANA CLIENT ASSISTANCE FOUNDATION
                                                            AND
                            JUDGES AND LAWYERS ASSISTANCE PROGRAM


                  THIS  AGREEMENT  is  entered  into this  ______  day  of  ______ ,  2024 (the

           “Effective  Date”),  by  and  among  the  Louisiana  Client  Assistance  Foundation

           (LCAF),  a  501(c)(3)  non-profit  corporation incorporated  under the laws of the State of

           Louisiana, the Louisiana State Bar Association (LSBA), the sole member of LCAF and

           JLAP,  a  501(c)(6)  non-profit  corporation  incorporated  under  the  laws  of  the  State  of

           Louisiana, and the Judges and Lawyers Assistance Program (JLAP), a 501(c)(3) non-

           profit corporation incorporated under the laws of the State of Louisiana.



           I.     RECITALS
                  WHEREAS,  LCAF  is  a  non-profit  corporation  organized  for  the  purpose  of


           coordinating Public confidence, the administration of justice and the integrity of the legal
           profession by reimbursing losses caused by the dishonest conduct of lawyers admitted to


           practice in the courts of the State of Louisiana occurring in the course of the client-lawyer

           or fiduciary relationship between the lawyer and the claimant; and

                  WHEREAS,  another  of  LCAF’s  stated  purposes  is  to  do  any  and  all  lawful

           activities which may be necessary, useful or desirable for the furtherance, accomplishment,

           fostering or attainment of the foregoing purpose, either directly or indirectly, and whether

           alone or in conjunction or cooperation with others, whether such others are individuals or

           organizations  of  any  kind  or  nature,  such  corporations,  firms,  associations,  trusts,

           institutions, foundations, or governmental bureaus, department, or agencies; and

                  WHEREAS,  JLAP  serves  the  public,  the  LSBA  and  the  legal  profession  by

           assisting on a confidential basis, lawyers or judges whose professional impairment may

           result from alcohol, drug abuse or mental illness; and
