LAPTOP AGREEMENT

Ben E Keith Foods (BEK) will provide the hardware, software, accessories and data files along with
the orientation and training programs for your continued education in laptops.

In order for the system to work, we need your commitment and agreement to the following:

1. I understand that this computer system is the property of BEK. I am not to use the BEK laptop except
as part of my job and I will not use any software on the laptop without permission from BEK. All
software must be legal and a copy of the license agreement turned in to BEK before installation of the
program. Any illegal software or unauthorized software (including games) found on your laptop can be
cause for immediate termination.

2. The use of any BEK laptop for the purpose of internet access is not supported by BEK. Exceptions
may be granted based upon your business needs and ONLY then if you obtain the written approval
from the Branch General Manager, Regional Manager (VP), or MIS Director, BEFORE the installation or
use any internet access software.

3. I agree not to copy or to allow anyone else to copy the software, screens, or reports provided by BEK
to me except for backup purposes. I understand that BEK will take whatever means necessary to
enforce and protect our software system and data.

4. I understand that I am responsible for the upkeep and care of the system and that should the unit need
repair, I will return it to the person authorized by BEK and not attempt to repair it myself or allow
anyone else to do so.

5. I agree to be entirely responsible for loss or damage to the system without regard to cause or to fault,
except for ordinary wear and tear. I understand that BEK has secured insurance which limits my
liability for repair or replacement of the system to $500 per occurrence.

6. I agree to provide and maintain at my own expense telephone services and connections suitable for
daily data communications with BEK via the system modem.

7. Upon request or upon termination, I agree to immediately return the system along with any books,
manuals, or documents relating to it.

8. I authorize that any amounts owed by me to BEK under this agreement may be deducted from any
wages, commissions, salary, incentives, or other sums due to me from BEK.

9. I understand that if I break any of the promises I have made in this agreement, I will pay whatever is
necessary to compensate BEK for all damages suffered.

10. I understand that nothing in this agreement is intended to in any way constitute an agreement to
employee me for any particular term of employment or to otherwise modify the terms and conditions of
my employment, except as expressly provided herein.
