XII.

                                         PROFESSIONAL DEVELOPMENT


                  In order to maintain and develop the high level of expertise and professionalism for which
                  Molzen Corbin is known, the Company encourages professional and educational activities
                  among the staff.


                  A.     PROFESSIONAL REGISTRATION


                         State  laws  require  professional  engineering  and  architectural  registration  as  a
                         condition  of  assuming  responsibility  for  performing  professional  engineering  or
                         architectural  assignments.  We  urge  all  of  our  professional  staff  to  obtain  their
                         registrations  as  soon  as  they  are  qualified  to  do  so  regardless  of  their  present
                         assignment  or  level  of  responsibility  within  Molzen  Corbin.  We  will  provide
                         reasonable time off with pay for the purpose of taking either the E.I., P.E. or A.R.E.
                         examinations.

                         Molzen Corbin will also reimburse all reasonable expenses of travel to other states
                         and the costs of obtaining registration in other states where registration is obtained
                         at the request of the Company.  Molzen Corbin will assume payment of registration
                         fees in one state for all full-time professionals, including engineers and architects, as
                         well as surveyors. Molzen Corbin may, at its discretion, pay for registration of an
                         individual in more than one state.  Registration certificates are displayed by each
                         registered professional member of the staff.

                  B.     PROFESSIONAL AND TECHNICAL SOCIETIES

                         Molzen  Corbin  encourages  active  participation  in  technical  and  professional
                         societies and will pay annual dues to one such organization for each professional
                         employee. Additional memberships may be paid with the approval of the Technical
                         Department  Leader,  who  will  assess  the  benefit  to  the  Company  through  such
                         affiliations.    With  prior  approval,  time  off  to  attend  local  meetings  of  particular
                         interest and benefit may be arranged.  When the meetings are held in conjunction
                         with a meal, Molzen Corbin will pay for the meal.

                         Time off and certain expenses may also be granted to individuals wishing to attend
                         national  or  regional  meetings  on  subjects  that  will  benefit  their  professional
                         development and enhance Molzen Corbin’s reputation.  Personnel who are elected
                         to office or are invited to deliver technical papers will receive priority consideration
                         when more than one staff member wishes to attend the same out-of-town meetings.
