Kenmare Assignment Company Limited (“KACL”), XYZ Law Firm, Ltd. (“the Payee”) and Eastern Point Trust
Company (“Asset Custodian”)

1. We refer to the above Substitution Agreement. We note that a dispute has arise between KACL and the Payee. Kenmare Assignment Company

2. We confirm that we have received an unresolved dispute notice from the Payee pursuant to clause 3.5.2 of the
Substitution Agreement and that the Payee wishes henceforth that the Payment Obligations of KACL as defined in
the Substitution Agreement be satisfied by the Asset Custodian.

3. Accordingly, we hereby serve you notice pursuant to clause 3.5.3.1.1 of the Substitution Agreement that Authorized Signatory
3.1 we will henceforth pay to the Payee, amounts equal to each of the Payment Obligations reproduced in the
Substitution Agreement which at this date remain to be paid, as and when they are required to be paid;
3.2 we are ceasing forthwith making payments to KACL pursuant to the Upstream Agreement referred to in the
