DEVELOPING A GOVERNANCE MODEL FOR
EFFECTIVE BOARD SELECTION OF PUBLIC ENTERPRISES
IN NAMIBIA
The doctoral study was undertaken and completed under the
supervision of Professor Stewart Kaupa as the Main Supervisor and
Professor Lovemore Matipira as the Co-Supervisor, both from NUST.
In response to the challenges of poor decision-making,
mismanagement, and corruption plaguing Public Enterprises in
Namibia, this study aimed to develop a tailored governance model
to optimize the selection of board members within Namibian Public
Enterprises, ensuring enhanced functionality and efficacy.
A comprehensive set of attributes essential for both ‘job fit’ and
‘group fit’ in effective director selection was identified. Emphasizing
director independence as pivotal to effectiveness, the research also
scrutinized critical institutional factors, including political influence and
political interference, demanding remedial attention to enable the
appointment of the most qualified candidates as directors of Public
Enterprises.
The resultant governance model integrates these identified factors,
offering a valuable contribution to the existing corpus of knowledge
on director selection within corporate governance. It provides
policymakers and decision-makers in Namibia with a structured
framework to enhance the efficacy of director selection processes
within Public Enterprises. Consequently, this model holds the potential
to foster improved governance practices and performance within
Namibian Public Enterprises, thereby advancing their contribution to
national development.
