                   Agreement between His Majesty’s Government and Petroleum Development
                         (Qatar) Limited, relating to the transfer of the Qatar Oil Concession from
                         the Anglo-Persian Oil Company to Petroleum Development (Qatar)
                         Limited, dated February 5, 1937
                       This Agreement dated the fifth day of February One thousand nine hundred
                   and thirty-seven is made between His Majesty's Government in the United
                   Kingdom (hereinafter called “ His Majesty’s Government ”) of the one part and
                   Petrolcuin Development (Qatar) Limited (hereinafter called the “ transferee
                   company” which expression shall where the context so admits be deemed to include
                   its successors and/or assignees) of the other part,
                       Whereas an oil concession was granted by the Shaikh of Qatar to the Anglo-
                   Persian Oil Company Limited under an agreement in writing dated the Seventeenth
                   day of May One thousand nine hundred and thirty-five,
                       And whereas the said Anglo-Persian Oil Company Limited in relation thereto
                   upon the Fifth day of June One thousand nine hundred and thirty-five entered into
                   an agreement in writing with His Majesty's Government,
                       And whereas by special resolution dated the Twenty-eighth day of June One
                   thousand nine hundred and thirty-five the said Anglo-Persian Oil Company Limited
                   changed its name to the Anglo-Iranian Oil Company Limited,
                       And whereas it is proposed with the prior consent of His Majesty’s Govern­
                   ment that the said oil concession should be transferred by the said Anglo-Iranian
                  Oil Company to the transferee company,
                      And whereas under the said agreement of the Fifth day of June One thousand
                  nine hundred and thiry-five such transfer shall not be made without the prior
                  consent in writing of His Majesty’s Government,
                      And whereas His Majesty’s Government has so consented in consideration
                  that the transferee company will from the date of such transfer carry out the terms
                  of the said agreement of the Fifth day of June One thousand nine hundred and
                  thirty-five and otherwise upon the terms hereunder set forth,
                      Now therefore with effect from the date of such transfer it is hereby agreed
                  as follows: —
                       1.  The Transferee Company shall be and remain a British Company registered
                  in Great Britain and shall have its principal place of business in Great Britain
                  and its Chairman shall at all times be a British subject.
                      2.  The terms of the above recited agreement dated the Fifth day of June One
                  thousand nine hundred and thirty-five including the Schedule thereto shall be
                  binding between His Majesty’s Government and the transferee company as if the
                  said agreement were expressed to be made between His Majesty’s Government
                  and the transferee company as if the said agreement were expressed to be made
                  between His Majesty's Government and the transferee company.
                      3.  The arrangements embodied in the letter dated the Fifth day of June One
                  thousand nine hundred and thirty-five from the Political Resident in the Persian
                  Gulf to the Shaikh of Qatar shall’ bind the transferee company and the said letter
                  shall be read as if in the place of “ the Company ” the transferee company were
                  mentioned.
                      In Witness whereof John Charles Walton, C.B. on behalf of His Majesty’s
                  Government has hereunto set his hand and seal and the Company has hereunto
                  caused its Common Seal to be affixed the day and year first above written.
