          payments due to Your Excellency under Articles 4 and 5 of the Agreement in
          Rupees, the sterling sum due being converted to Rupees at the rate of one Rupee
          equals one Shilling and six Pence sterling.
              I further confirm that after the discovery of oil in commercial quantities my
          Company will pay in Rupees such proportion of the sterling payments due under
          Article 8 as Your Excellency may reasonably require, conversion from sterling into
          Rupees to be at the par rate of exchange prevailing at the date of payment as
          quoted by the Reserve Bank of India.

          Letter, dated March 9, 1953, from D’Arcy Exploration Company to the Three
                Representatives of the Ruler of Abu Dhabi, setting out their Specific
                Functions under the Concession Agreement as Agents of the Ruler and
               stating the Annual Payments to be made to them
              With reference to Articles 1 (e) and 17 of the Agreement which has to-day
          been signed between H.E. the Ruler of Abu Dhabi and D’Arcy Exploration
          Company, Limited, as provided in the Agreement, and in view of the increase
          in responsibilities and duties which will ic.ll upon you in consequence of this
          Agreement, it is proposed, in recompense therefor, to pay you a sum of
          Rupees 60,000 on signature of the Agreement and on each annual anniversary
          date thereafter a like sum of Rupees 60,000.
              Moreover, in view of the increased travelling which will be involved, we
          propose that the Company should, on each annual anniversary date hereafter,
          deliver to you, free of cost, 2,000 gallons petrol.
              You shall serve as a three-man committee, with Hazza’a at all time and in
          all things having the controlling vote and decision of said committee. Neither
          the committee nor its members shall be considered employees or agents of the
          Company, but shall serve as individual representatives and agents of the Ruler.
          The Ruler may replace any committee member with another representative after
          receiving the Company’s approval.
              Notice to your committee by the Company of any matter or thing shall be
          deemed fully given when communicated to Hazza’a, and any notice or decision
          communicated to the Company by Hazza’a shall be considered binding on your
          committee.
              As set out in the Agreement, your duties as representatives will include, but
          not be limited to, the furnishing of all local labour and car drivers, and you will
          furnish food and accommodation for this labour where same is not furnished by
          the Company. No local labour shall be employed by the Company without
          your knowledge. Bids will be obtained by the Company for all local contracts
          after consultation with and recommendation by you. Your recommendations in
          these local contractual matters will be followed as long as the contracts  are
          reasonable and efficiently performed.
              If the foregoing agreement is in accordance with your understanding, we
          would appreciate your signing the same in token of your concurrence.

         Political Agreement between Her Majesty’s Government and D’Arcy Exploration
               Company, regarding the Offshore Oil Concession Agreement with the Ruler
               of Abu Dhabi, dated March 31,1953
             This Agreement dated the 31st day of March, one thousand nine hundred and
         fifty-three, is made between Her Majesty's Government in the United Kingdom
         of Great Britain and Northern Ireland (hereinafter called “ Her Majesty’s Govern­
         ment ”) of the one part and D’Arcy Exploration Company Limited (hereinafter
         called " the Company ”) of the other part.
