         Letter, dated January 6, 1953, from the Kuwait Oil Company to the D’Arcy
               Kuwait Company accepting the Terms of the Political Agreement (at
               No. 3 above)
             We have received from the Foreign Office a copy of their letter dated
         27th November, 1952, addressed to your Company, enclosing a copy of a new
         Political Agreement to replace the Agreement signed between His Majesty’s
         Government and Kuwait Oil Company Limited on 5th March, 1934.
             We confirm that, in accordance with Article 17 of the Political Agreement,
         this Company accepts and will comply with the terms of the said Political
         Agreement

         Political Agreement between Her Majesty’s Government and the Gulf Kuwait
               Company replacing the Political Agreement of March 5, 1934, with the
               Kuwait Oil Company (No. 2 above), dated December 11, 1952
                                       Article 2*
             The Company, any transferee Company and any subsidiary Company that
         may be created in connexion with the Company’s operations under the Concession
         shall, except with the prior consent in writing of Her Majesty’s Government, be
         and remain an American Company incorporated in the United States of America,
         or a British Company registered in any of the countries of the British Common­
         wealth of Nations, of which no more than 49 per cent, of the capital or voting
         power shall be directly or indirectly controlled by persons other than British
         subjects or United States citizens. Any operating company which may be
         created in connexion with the operation of the Concession shall be a British
         company registered in any of the countries of the British Commonwealth of
         Nations and wholly owned in equal shares by the Company, its permitted
         successors and assigns, and the D’Arcy Kuwait Company Limited, its permitted
         successors and assigns.
