f. Required Certificate of Insurance. Supplier shall furnish, together with its execution of this Agreement and thereafter in
advance of any annual renewal of or any relevant and material change in Supplier’s insurance coverage, a fully complying
current certificate of insurance for Servicers' and the Co-op's approval, which certificate(s) evidence all required coverages in
this Agreement and have attached all required additional insured endorsements, Waivers of Subrogation, and primary and
non-contributory endorsements. Notwithstanding the foregoing, neither the Servicers’ nor the Co-op's review or approval of
such certificate relieves Supplier of any obligation to maintain this Agreement’s required coverage. All Supplier’s insurance
policies must contain a waiver of subrogation in favor of the Co-op, the Servicers, and Selected Buyers.
g. Change in Insurance Coverage. Supplier shall notify the Servicers and the Co-op at least thirty (30) days in advance of any
relevant and material changes in Supplier’s insurance coverage. To the extent commercially available, each certificate must
indicate that the coverage represented will not be canceled, or modified (to the Co-op’s, the ranchisor’s, or Selected Buyers'
detriment), until at least thirty (30) days prior written notice has been given to the Servicers and the Co-op, except for ten (10)
days’ notice for cancellations due to non-payment. The insurance requirements set forth in this Agreement are minimum
coverage requirements and are not to be construed in any way as a limitation on Supplier’s liability under this Agreement.
h. Insurance Coverage Limits. In accordance with this Section, Supplier shall maintain CGL, Umbrella, and Employer’s
Liability insurance coverage (in addition to the other required coverages above) of the types and in amounts not less than
those set forth below for Supplier’s applicable Product Category. If, at any time during the Term, Supplier provides the
System with Products in both Product Categories listed below, then Supplier is subject to the insurance requirements of
Product Category A. If there is a dispute or other disagreement regarding which Product Category the Supplier’s Products fall
into, then the Co-op shall make the final determination regarding which Product Category applies to the Products. The
insurance limits set forth below are subject to change from time to time upon written agreement between the Co-op and
Supplier.
Category A: The Category A insurance requirements apply to the following Product types:
Proteins: Includes all beef, pork, poultry, seafood, eggs and other meat Products.
Produce: Includes all fruit and vegetable Products.
Dairy: Includes all milk and cheese Products and all Products primarily derived from milk and cheese Products.
Category B: The Category B insurance requirements apply to all Products other than Category A Products.
