Category A: The Category A insurance requirements apply to the following Product types:
o Proteins: Includes all beef, pork, poultry, seafood, eggs and other meat Products.
o Produce: Includes all fruit and vegetable Products.
o Dairy: Includes all milk and cheese Products and all Products primarily derived from milk and cheese
Products.
Category B: The Category B insurance requirements apply to all Products other than Category A Products.
Item 17 - Administration Fees.
At the request, and on behalf, of the Co-op, Supplier shall collect a fee ("Administration Fees") from Selected Buyers or other
purchasers specified by the Co-op. Administration Fees shall be based on such percent of sales or purchases or amounts
per case or other units as the Co-op may from time to time designate based on the sale to Selected Buyers of all or certain
Products specified by the Co-op, or by such other method as the Co-op may from time to time designate. Supplier shall
collect any such Administration Fees without markup pro-rata from Selected Buyers. Administration Fees will at all times be
and remain the property of the Co-op. Supplier shall serve only as a bailee and agent of the Co-op for billing and trustee for
the Co-op in collecting and holding the Administration Fees for the Co-op's benefit, and remitting the collected Administration
Fees to the Co-op. Administration Fees billed but uncollected from Selected Buyers and all Administration Fees collected
from Selected Buyers shall be held in trust for the benefit of the Co-op; provided, however, Supplier shall have no liability to
the Co-op for uncollected Administration Fees unless Supplier has failed to exercise its good faith efforts to collect such
Administration fees by including such Administration Fees on its invoices to Selected Buyers. All collections and other
proceeds of Administration Fees shall be segregated from all Supplier funds (and if requested by the Co-op deposited in a
separate bank account pending remittance to the Co-op). Supplier shall provide the Co-op with such Selected Buyer account
information which the Co-op may request from Supplier reflecting the business between Selected Buyers and Supplier, in
order to permit the Co-op to verify and/or calculate the aggregate Administration Fees due from Selected Buyers for each
weekly or other accounting periods specified by the Co-op. Supplier shall remit all Administration Fees collected by wire
