PRICING PROGRAM
BASELINE DISTRIBUTION FEE

CPI-U DISTRIBUTION FEE ADJUSTMENT

The Distribution Fee will be adjusted on the third (3 ) anniversary of the Effective Date of this
Agreement. Adjustments, if any, to the Distribution Fee may be determined based upon the
percentage change during the month previous to the anniversary month in the CPI-U, less food
and energy, US City Average (www.bls.gov), and will be applied on the first business day of the
following month of the anniversary. Any annual increase to the Distribution Fee cannot exceed
three and one-half percent (3.5 %).
CASE VOLUME ANALYSIS
Distributor will complete the case volume analysis, and any resulting Distribution Fee
adjustment will be implemented according to the following schedule:

CASE FEE PER DELIVERY
The Distribution Fee has been based on the assumption of an average of xx cases per delivery.
The parties agree that there will be a per-case credit or debit to the Distribution Fee, calculated

FUEL INDEX
This Agreement is based upon a base fuel cost range of $X.XX to $X.XX per
gallon as published in the Retail On-Highway Diesel Prices for the (region)
(PADD xx) (www.eia.doe.gov). There will be a $ .XX per case debit or credit
imposed on the Distribution Fee for each $.XX increase or decrease (or fraction
thereof) in the monthly average, either above or below the base fuel cost.
