DISTRICT AUDIT COMMITTEE


    It is hereby resolved that:
    A District Audit Committee as provided for in Article 15.060.4 of the Rotary International ByLaws be established to review the annual Financial Statements
    of RI District 3300.
    a. The Committee shall consist of five active Rotarians elected at the District Conference of which one (1) is a Past District Governor, two (2) Past
    Assistant Governors / District Governors’ Group Representatives or Past District General Secretaries, and two (2) Past Presidents. At least one (1)
    member of the Committee must have
    experience and meet the following criteria:
    (i) must be a member of the Malaysian Institute of Accountants; or
    (ii) if he is not a member of the Malaysian Institute of Accountants, he must have at least 3 years working experience and –
    (aa) he must have passed the examination specified in Part I of the First Schedule of the Accountants Act 1967; or
    (bb) he must be a member of one of the associations of accountants specified in Part II of the First Schedule of the Accountants Act 1967; or
    (iii) fulfils such other requirements as prescribed or approved by the Malaysian Corporate Regulatory Authorities, namely, Bursa Malaysia or the Securities
    Commission of Malaysia.
    In the event that the above requirements to have at least any one (1) member of the Committee with the above criteria are not met, then the number of
    members from the category for Past Presidents shall be reduced to one (1) and a Rotarian who meets the criteria shall be elected to fill the position.
    b. The District Governor, District Treasurer, signatories of district bank accounts and members of the District Finance Committee are not allowed to serve
    on the District Audit Committee for the year they are serving in these positions.
    c. The Chairman of the District Audit Committee shall be a member of the committee elected by the members of the committee.
    d. The term of office of the District Audit Committee shall coincide with the term of office of the Board of Directors of District 3300 Bhd.of the financial year.
    A member of the Committee shall have the right to resign upon submitting a 14 days written notice to the Board of Directors. A replacement nominated by
    the District Audit Committee shall be appointed within 14 days by the Board of Directors.
