representations or warranties of the other party(s) hereto contained herein, or in any document
delivered pursuant hereto and (c) waive any compliance by any of the other parties hereto with
any of the agreements or conditions contained herein. The waiver by either party of a breach or
violation of any provision of this Agreement shall not operate as, or be construed to be, a waiver
of any or other subsequent breach or violation of any provision hereof. No breach or violation of
any provision hereof shall be waived except by an agreement in writing signed by the waiving
party.

O. NOMENCLATURE.

The use of the male gender shall include the female, the individual shall include the
corporate, and the singular shall include the plural, and visa versa, wherever such usage is
appropriate to the context.

P. NO THIRD PARTY BENEFICIARIES

This Agreement is not intended to benefit or be enforceable by any person other than the
Village and the Developer, and their respective successors and assigns. This Agreement shall be
binding upon and be for the benefit of the Village, the Developer, and their respective successors
and assigns only.

IN WITNESS WHEREOF, the Parties hereto have executed this Agreement on the day
